NOTICE

TAKE NOTICE that it is the intention of all of the directors of Aviva Life & Pensions Ireland Limited (ALPI), having its
principal place of business in Ireland at 1 Park Place, Hatch Street, Dublin 2, and Aviva Life & Pensions UK Limited
(UKLAP), having its principal place of business in the United Kingdom at 2 Rougier Street, York, YO90 1UU, England, to
make an application to the High Court of Ireland (the High Court) to sanction the transfer of the life assurance business
of ALPI to UKLAP.
AND FURTHER TAKE NOTICE that copies of the Scheme whereby the said transfer is to be effected, the Petition to be
presented to the High Court and the Schedules annexed thereto, the full and summary report by an Independent Actuary
on the Scheme the reports by each of the Appointed Actuary of ALPI, the Actuarial Function Holder of UKLAP and the
With-Profits Actuary of UKLAP, on the Scheme and the Circular (referred to below) will be available for the inspection of
any policyholder or shareholder of ALPI and/or UKLAP at the registered offices of ALPI and UKLAP at 1 Park Place, Hatch
Street, Dublin 2, Ireland and at 2 Rougier Street, York, YO90 1UU, England, United Kingdom, respectively, between the
hours of 9.00 a.m. and 5.00 p.m.; on each working day between 3 June 2014 and 2 December 2014, inclusive. Copies
of those documents will also be available for viewing and/or download from the following website: www.aviva.ie/evolving
AND FURTHER TAKE NOTICE that the said Petition is to be listed for hearing by the High Court on 2 December 2014
at the Four Courts, Dublin, Ireland, at 11.00 a.m. Any person who wishes to be heard on the hearing of the said Petition
should send a notice of their intention to appear, in writing, to A&L Goodbody Solicitors at 25-28 North Wall Quay,
International Financial Services Centre, Dublin 1, Ireland, no later than 5.00 p.m. on 25 November 2014 and should
indicate whether such person or persons support or oppose the said Petition. Any person wishing to make submissions
at the hearing of the Petition on 2 December 2014 should file an affidavit setting out those submissions with the Court
and serve a copy of that affidavit on A&L Goodbody at the aforementioned address no later than 5.00 p.m. on 25
November 2014.
