International Healthcare Systems S.A., second largest operator of medical dialysis and nephrology cabinets in Romania and third largest independent provider in Europe, was sold, at the beginning of 2016, to Swedish company Diaverum, largest global independent player in the dialysis market.
Alpha Bank acted as the exclusive advisor to International Healthcare Systems shareholders throughout the entire selling process. This transaction represents the final step of a more than ten years solid partnership, in which Alpha Bank sustained the expansion plans of IHS network of dialysis and nephrology centres, contributing to the development of a business operating at the highest international standards and of the medical sector in Romania. Founded in 2004 by a visionary family, IHS became a “made in Romania” success story through persistent development, adherence to the highest standards of medical care, unparalleled in Romania dedicated infrastructure and staff professionalism.
IHS is a pioneer of the private medical services sector in Romania and one of the four winners of the international tender organised in 2004, under the World Bank supervision for the outsourcing of the public dialysis services. Starting with two clinics in Bucharest and Buzau in 2005, secured in the privatisation process, the company grew at a fast pace, reaching a number of 15 centres located in 12 counties, which provide all types of renal replacement treatment (conventional hemodialysis, on-line hemodiafiltartion, continuous ambulatory peritoneal dialysis and automated peritoneal dialysis) for more than 1,700 patients. Moreover, foreseeing the need for prevention, active detection and early intervention of chronic kidney disease in an incipient phase, next to the dialysis centres, 11 nephrology cabinets were deployed under the sister entity, Inter Health Systems S.A.
With this transaction, Diaverum doubled its activity in Romania, establishing a truly nationwide footprint with 28 centres in 19 counties and treating approximately 3,200 patients with chronic renal kidney disease. In the same transaction, Diaverum acquired, via business transfer, the nephrology outpatient activity of Inter Health Systems S.A. The transaction was approved by the Competition Council, on October 30, 2015.
Diaverum Romania SRL is a subsidiary of Diaverum Gmbh, owned by the private equity Bridgepoint Capital. It entered the local market in 2011, through the acquisition of nine Dialmed dialysis centers. Worldwide, Diaverum is the largest independent dialysis services provider, treating more than 30,000 patients, in 21 countries, in 4 continents.
